This agreement is between MMU and the company (referred to as “you”). The company means all staff, agents and officers of the company. Both MMU and you agree to act in good faith in participating in this scheme.
Admission of members
MMU welcomes organisations in relevant sectors to join us. Joining (and payment) will be via our website https://www.buyonline.mmu.ac.uk unless a paper application is specifically requested by a (prospective) member.
MMU reserve the right to verify and conduct due diligence before the admission process is complete.
Fees
Membership subscriptions are based on company size, and are measured in terms of annual turnover. The Membership fee is stated per company and includes all items listed in the description. Prices are correct at the time of going to press but may be subject to change.
Payment
Membership fees must be paid for when joining online at https://www.buyonline.mmu.ac.uk If explicitly agreed in advance by MMU, and on provision of a valid Purchase Order Number, an invoice (which may be described as a ‘Request for Payment’) can be issued. Invoices are payable on demand and certainly within 30 days of the date of the invoice.
Benefits
The benefits that are listed in the description will be provided by MMU to a level that is deemed reasonable in all the circumstances. MMU reserves the right to refuse benefits where it considers the request to be unreasonable.
Materials
Materials may be provided to members. MMU reserves all rights in the content of all materials. By submitting the Membership form, you acknowledge that all rights in the materials shall be owned by MMU and that in participating in this scheme you will not obtain any rights whatsoever in such materials.
Confidentiality
By submitting the Membership form you agree to keep confidential any information concerning MMU, it’s activities, research or relationships, of which you become aware as a result of being a member of this scheme. This obligation shall last for 5 years after termination.
Rights of Third Parties and Assignment
This agreement does not create, or infer any rights under the Contracts (Rights of Third Parties) Act 1999 which are enforceable by any person who is not a party to the agreement. You may not assign the rights under this agreement to anyone else.
International Members
All payments must be made in Sterling by credit card, bankers draft or cheque. Special terms may apply for international memberships. Please contact MMU for more information.
Duration and Termination
Membership lasts for 1 year from the date that payment is received by MMU. Towards the end of that year MMU will contact you to offer you the opportunity to renew your membership. If you wish to terminate your membership you may do so, in writing, giving one months notice to MMU. Refunds will not be paid.
Liability
MMU do not accept any liability for advice given or views expressed by them verbally or in any notes or documentation provided to you as a member of this scheme. MMU shall not be liable to you for loss of profits, loss of business, depletion of goodwill and/or similar losses or any special, indirect, consequential or pure economic loss, loss of business opportunities, loss of actual or anticipated profits, injury to reputation costs, damages, charges or expenses brought about as a result of your membership of this scheme. MMU does not accept any liability for hosting member’s logos on our website, nor do we guarantee the contents of any websites featured.
Miscellaneous
MMU will not be liable for any travel or other expenses incurred by you in being a member of this scheme.
You agree to comply with relevant MMU policies and procedures at all times when participating in activities with MMU. You agree not do anything that may bring MMU’s reputation into disrepute. MMU shall not do anything that shall bring into disrepute the reputation of the Project Provider.
The terms of this agreement shall be governed by English law and you agree to submit to the jurisdiction of the English courts.
